Andersen in Poland in collaboration with STSK advises PTWP on strategic acquisition of Gremi Media S.A.
Andersen in Poland has successfully provided legal, tax, and financial advisory services to Polskie Towarzystwo Wspierania Przedsiębiorczości S.A (“PTWP”) in its recent acquisition of a majority stake in Gremi Media S.A, supporting Stalmach Szczeszek law firm (STSK), PTWP’s general legal advisor.
This noteworthy transaction marks a significant milestone following an agreement between PTWP S.A. and Pluralis B.V., a strategic media investor in Gremi Media S.A.,a media company listed on NewConnect which is inter alia renowned for publishing Rzeczpospolita and Parkiet, two of Poland’s leading business journals.
Pursuant to the Investment Agreement, Pluralis B.V. undertook to make a non-cash contribution to PTWP S.A. in the form of 1,017,115 shares in Gremi Media S.A. held by the above-mentioned entity, including 413,254 registered series A shares with voting privileges and 603,861 ordinary bearer shares traded on the NewConnect alternative trading system.
The PTWP Group operates across three key segments: publishing specialized portals—including wnp.pl, rynekzdrowia.pl, portalspozywczy.pl, dlahandlu.pl, and portalsamorzadowy.pl—organizing conferences and business events, such as the prestigious European Economic Congress, and managing landmark facilities e.g. Spodek Hall in Katowice.
Pluralis B.V., the selling party in this acquisition, is a Dutch limited liability company based in Amsterdam. Its diverse shareholders and partners include esteemed entities such as the King Baudouin Foundation, Oak Foundation, Erste Foundation, Mediahuis, Tinius Trust (owner of Schibsted Media), NWT Group, Media Development Investment Fund, and Soros Economic Development Fund.
