Andersen advised Olavion of UNIMOT Group in the cross-border acquisition of 60% stake in RBP, a German railways company

Teams of Andersen in Poland, headed by Leszek Rydzewski, and Andersen in Germany have advised Olavion sp. z o.o. of the UNIMOT Group in the negotiation of the conditional acquisition of a 60% stake in Rheinische Bahnpersonal-und Verkehrsgesellschaft mbH (RBP), with a financial involvement of the investor up to appr. EUR 8.4 million.

The acquisition (when closed in 2026) will align with Olavion’s strategic goals, promoting growth in logistics services associated with the energy sector and enhance the railway logistics capabilities of the entire UNIMOT Group. Through this transaction, Olavion aims to capitalize on opportunities within the German market.

Olavion provides transport services on the Polish market and forwarding services on the international rail transport market. Olavion’s activities include the transport of energy, chemical, construction and industrial products. As a licensed rail carrier, Olavion specialise in the comprehensive organisation of freight transport.

UNIMOT Group is the biggest independent importer of liquid and gas fuels in Poland with almost 30 years of experience. UNIMOT’s multi-energy group offer includes: diesel oil (ON), gasoline, biofuels (Bio), liquid gas (LPG), natural gas (incl. LNG), as well as electricity.

RBP is a company providing services in the German rail transport market, equipped with locomotives and a team of 50 dedicated personnel. The company is recognized for providing essential railway services, operating under relevant licenses. Additionally, RBP conducts training and examinations acknowledged by certified entities for railway personnel and offers train driver hiring services throughout Germany.

The scope of advisory services provided by Andersen included legal and tax due diligence and preparation of transactional documentation essential for the successful execution of the acquisition (share purchase and shareholders agreements).
